SERVICE AGREEMENT

WeAreNinety - Service Agreement

This Service Agreement ("Agreement") sets out the terms and conditions under which WeAreNinety Ltd ("WeAreNinety", "we", "our", or "us") provides marketing and consultancy services ("Services") to clients ("Client", "you", "your"). By engaging our services, you agree to be bound by the terms of this Agreement.

Scope of Services

WeAreNinety provides sports marketing services including (but not limited to):

Brand strategy and creative direction
Influencer and Creator marketing
Athlete marketing
Sponsorship activation
Creative & Production services
Social media marketing and management
TikTok content strategy and execution
Digital campaign planning
Event promotion and fan engagement

Any additional services outside the agreed scope will be subject to a separate agreement or written variation.

Project Engagement

We will provide a written proposal or Statement of Work ("SOW") outlining:

Project scope
Deliverables
Timelines
Fees and payment structure

The SOW forms part of this Agreement once accepted by the Client in writing or by commencing work.

Fees and Payment Terms

All fees will be detailed in the SOW or invoice and are exclusive of VAT unless stated otherwise.

Payment terms are typically:

50% deposit upon project commencement
50% upon completion or based on agreed milestones

Late payments may incur statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Client Obligations

The Client agrees to:

Provide timely access to information, materials, and personnel
Approve or give feedback on deliverables within reasonable timeframes
Comply with agreed deadlines and commitments

Intellectual Property

We retain ownership of any pre-existing intellectual property used in the delivery of Services.

Upon full payment, the Client will own the final deliverables (e.g., designs, strategies), unless otherwise agreed in writing.

We reserve the right to showcase non-confidential work in our portfolio and marketing materials.

Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information shared during the project.

This obligation continues for two (2) years after project completion unless otherwise agreed.

Termination

Either party may terminate this Agreement with 14 days’ written notice, unless stated otherwise in the SOW

We may terminate immediately if the Client:

Breaches material terms of the Agreement
Fails to make payments
Acts in a way that damages our reputation or relationship

On termination, all unpaid work up to the termination date will be invoiced and payable.

Liability

Our total liability under this Agreement shall not exceed the total amount paid by the Client for the Services in question.

We will not be liable for:

Indirect or consequential loss
Loss of business, goodwill, or profits
Delays caused by third-party platforms (e.g., TikTok, Instagram)

Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.

Both parties agree to comply with all applicable data protection legislation.

Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
